Terms of Service

1. Acceptance of Terms

By accessing or using Auditshore ("the Service"), operated by Auditshore LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Auditshore is a software-as-a-service platform that enables CPA firms and audit professionals to upload, analyze, and review SOC (Service Organization Control) reports using AI-assisted analysis. The Service provides tools for extracting, organizing, and reviewing controls, CUECs, deviations, and subservice organization data from SOC reports.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service in violation of any applicable law or regulation
  • Upload content that you do not have the right to share
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated tools to scrape, crawl, or extract data from the Service beyond normal usage
  • Reverse-engineer, decompile, or disassemble any part of the Service

5. Data Ownership & Confidentiality

You retain ownership of all data and documents you upload to the Service ("Your Data"). We do not claim ownership of Your Data. We treat all uploaded SOC reports, review data, and client information as confidential.

We process Your Data solely to provide the Service, including AI-powered analysis. We do not sell, share, or use Your Data for purposes unrelated to the Service. See our Privacy Policy for details on how we handle your information.

Customers requiring a Data Processing Agreement (DPA) may request one by contacting legal@auditshore.io.

6. AI-Generated Content

The Service uses artificial intelligence to assist with SOC report analysis. AI-generated outputs — including control mappings, risk assessments, deviation classifications, and extracted data — are provided as audit inputs and decision-support tools. You are responsible for reviewing and validating all AI-generated content before relying on it.

Auditshore does not, and is not designed to, provide assurance services, render audit opinions, or replace the professional judgment required of you under AICPA, PCAOB, or other applicable auditing standards. The audit conclusion is yours.

7. Organization & Team Access

Organization administrators are responsible for managing team member access, roles, and permissions within their organization. When you invite team members, you confirm that you have the authority to grant them access to the data within your organization's account.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance and will make reasonable efforts to provide advance notice. We are not liable for any downtime or service interruptions.

9. Payment Terms

Fees for the Service are as agreed in your subscription agreement or invoice. All fees are non-refundable unless otherwise stated.

Pricing changes apply only to renewal terms and will be communicated at least 30 days prior to renewal. Pricing within an active subscription term will not be modified except by mutual agreement.

10. Termination

Either party may terminate these Terms with 30 days' written notice. Upon termination, your access to the Service will cease. Within 30 days following termination, you may request an export of Your Data. Following the export window, we will delete Your Data within 90 days, except where retention is required by law.

11. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

The foregoing limitations do not apply to: (a) liability arising from gross negligence or willful misconduct; (b) breach of confidentiality obligations under Section 5; (c) indemnification obligations under Section 12; or (d) any liability that cannot be limited or excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Auditshore LLC from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

Auditshore LLC is a Delaware limited liability company. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. The exclusive venue for any dispute arising under these Terms shall be the state or federal courts located in New Castle County, Delaware. Nothing in this Section limits the rights of California residents under the California Consumer Privacy Act or California Privacy Rights Act, which apply based on the customer's residency regardless of governing law.
